Terms & Conditions

These Terms & Conditions apply to all services provided by PRKS.dev (“we”, “us”, “our”) to you (“client”, “you”). By approving a quote, requesting work, or paying an invoice, you agree to these terms.

Services

We provide software development, website development, maintenance, consulting, and IT support. The scope of work will be defined in a quote, proposal, email agreement, or invoice.

Quotes, Scope & Changes

  • Quotes are based on the scope discussed at the time.

  • If you request changes or additional work outside scope, we'll confirm the impact on cost and timeline before starting.

  • Extra work may be billed as a new quote or hourly, but only after you approve.

Client Responsibilities

You agree to:

  • Provide required content, access, and approvals in a timely way

  • Ensure you have permission to use the materials you give us (text, images, logos, etc.)

  • Review work and give feedback without long delays

  • Keep your own backups unless backup service is included in writing

If access, content, or approvals are delayed, the delivery timeline may shift.

Timelines

We aim to meet agreed timelines, but delays can happen due to third-party services, provider outages, or late client feedback. If something changes, we'll communicate clearly.

Testing & Acceptance

You're responsible for reviewing deliverables and confirming they meet your needs. If issues are not reported within a reasonable time after delivery (usually 7–14 days, depending on the project), the work may be treated as accepted.

Third-Party Services

Many projects depend on third parties (hosting, domains, plugins, payment gateways, APIs).

  • We are not responsible for third-party outages, forced updates, pricing changes, or policy changes.

  • If a third-party issue affects your system, we can assist, but it may be billable unless included in a maintenance plan.

Support & Maintenance

Unless you have an ongoing maintenance agreement, future updates, security patches, content changes, and new features are not included after handover.

Intellectual Property & Ownership

  • Once payment is received in full, you own the final deliverables you paid for (unless stated otherwise).

  • Third-party tools, plugins, fonts, and libraries remain under their own licenses.

  • We may reuse general knowledge and non-confidential methods across projects.

Confidentiality

We keep your confidential project information private and only share it when required to deliver the service or required by law.

Security & Access

You're responsible for maintaining secure access to your accounts. If you provide us access, we'll handle it carefully, but the account owner remains ultimately responsible for account security.

Limitation of Liability

We provide services with reasonable care and skill. To the maximum extent allowed by law:

  • We are not liable for indirect losses (like lost profits or business interruption)

  • Our total liability is limited to the amount you paid for the specific service in dispute

Termination

Either party may end a project by written notice.

  • You will pay for work completed up to the termination date.

  • If you prepaid, we'll apply it to completed work and confirm any remaining balance.

Invoice Terms & Conditions

This section applies to all invoices issued by PRKS.dev.

Payment Terms

  • Payment is due within 7 days of the invoice date unless otherwise agreed in writing.

Late Payments

  • If an invoice becomes overdue, we may pause work or suspend ongoing support until payment is received.

  • Late fees may apply if allowed by law or stated on the invoice.

Deposits & Milestones

  • Some projects require deposits or milestone payments. Work may start or continue only after payment is received.

Renewals & Third-Party Purchases

  • Domain renewals, hosting renewals, and other third-party purchases are generally non-refundable once processed with the provider.

  • Provider pricing and policies apply.

Invoice Questions or Disputes

  • If you believe an invoice is incorrect, contact us within 7 days of receiving it so we can review and fix it quickly.

Ownership Until Paid

  • Deliverables remain the property of PRKS.dev until the invoice is paid in full (unless otherwise agreed in writing).

Governing Law

PRKS.dev operates in Melbourne, Australia and Kathmandu, Nepal. Where possible, disputes will be handled under the laws of the location where the service is primarily delivered, unless otherwise agreed in writing.
